These Terms and Conditions ("Terms") govern access to and use of the Airceleo platform, including the website, mobile applications, and related services (collectively, the "Platform"), operated by Airceleo Private Limited ("Airceleo," "Company," "we," "us," or "our").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms without limitation or qualification.

1. Nature of the Platform

Airceleo is a technology platform that facilitates personal item coordination between independent users. Airceleo does not provide delivery, courier, logistics, freight forwarding, transportation, or customs services.

  • Does not take possession, custody, or control of any item
  • Does not inspect, package, store, or transport items
  • Does not act as a carrier, bailee, agent, customs broker, or logistics provider
  • Does not guarantee delivery, timing, condition, legality, or customs clearance

All arrangements are peer-to-peer, voluntary, and entered into independently by users.

2. No Fiduciary Relationship

Airceleo does not owe any fiduciary duty, duty of care, or duty of loyalty to any user. No relationship of trust, confidence, or reliance is created by use of the Platform.

3. Eligibility and Account Registration

You must be at least 18 years of age and legally competent to enter into binding agreements to use the Platform.

  • Provide accurate, current, and complete information
  • Maintain confidentiality of your account credentials
  • Be responsible for all activities conducted through your account
  • Notify Airceleo immediately of unauthorized access

Airceleo may suspend or terminate accounts at its sole discretion.

4. Identity Verification

4.1 Use of Third-Party Verification Services

Airceleo uses third-party identity verification providers, including Persona, to conduct background and identity verification of users. By using the Platform, you expressly consent to:

  • The collection, processing, and verification of your identity information
  • The sharing of such information with Persona and other verification service providers
  • Verification checks conducted in accordance with applicable laws and Persona's processes

4.2 Scope and Limitations of Verification

  • Is performed solely to confirm user identity
  • Does not constitute background screening, criminal checks, or character validation
  • Does not guarantee user behavior, trustworthiness, legality, or compliance

Airceleo does not independently verify or audit Persona's verification outcomes and does not assume responsibility for inaccuracies, errors, or omissions in third-party verification results.

5. User Roles

  • Sender: a user requesting another user to carry an item
  • Traveler: a user who independently agrees to carry an item while already traveling

Users may act in both roles at different times.

Travelers act in a personal, non-professional capacity and receive a gratuity agreed directly with the Sender. Travelers are not employees, agents, contractors, or representatives of Airceleo.

6. User Declarations and Responsibilities

6.1 Sender Responsibilities

  • Items are lawful and permitted under applicable laws
  • Item descriptions and declared values are accurate
  • Declared value does not exceed USD 1,000
  • Items do not include prohibited items

6.2 Traveler Responsibilities

  • Acceptance of arrangements is voluntary
  • Travelers independently decide whether and how to declare items at customs
  • Travelers are solely responsible for compliance with customs, aviation, and border regulations

Airceleo does not verify item legality, contents, value, or declarations.

7. Prohibited Items

  • Passports, visas, national IDs, legal or government-issued documents
  • Illegal, restricted, or prohibited items
  • Hazardous, perishable, or dangerous materials
  • Controlled substances, weapons, explosives, currency, or bearer instruments

Airceleo may remove listings and suspend users for violations.

8. Payments and Platform Fees

8.1 Payment Structure

Senders pay the Traveler gratuity (user-to-user, agreed independently) and the Airceleo platform coordination fee. Airceleo facilitates payment processing and temporarily holds the Traveler gratuity in a pending state.

8.2 Gratuity Release

  • When the Sender marks the arrangement as Completed
  • Automatically after a predefined time window if no action is taken

Arrangement completion is a platform status action only and does not verify delivery, item condition, or performance.

8.3 Refunds

Airceleo may, at its sole discretion, refund the platform coordination fee as a goodwill gesture. Airceleo does not compensate for lost or damaged items. Refunds do not imply liability or admission of fault.

9. No Insurance; No Guarantees

  • No insurance coverage
  • No loss or damage compensation
  • No delivery guarantees
  • No customs or regulatory assistance

Users assume all risks associated with arrangements.

10. Assumption of Risk

Users acknowledge that coordinating with other users involves inherent risks, including loss, damage, delay, seizure, misdelivery, fraud, or legal consequences. By using the Platform, users knowingly and voluntarily assume all such risks.

11. Optional Tools

Airceleo may offer optional tools such as chat, recipient reference photos, or handoff codes. Use of these tools is voluntary. Airceleo does not verify accuracy, enforce usage, or guarantee outcomes.

12. No Reliance

Users acknowledge that they do not rely on any representation or assurance by Airceleo regarding legality, safety, delivery, or outcomes. Decisions are made independently at the user's sole discretion.

13. Independent Users; No Agency

Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship. Users act independently and solely on their own behalf.

14. Regulatory Compliance

Airceleo may modify, restrict, suspend, or discontinue services to comply with legal or regulatory requirements without liability.

15. Force Majeure

Airceleo is not liable for failure or delay caused by events beyond reasonable control, including natural disasters, pandemics, strikes, airport closures, governmental actions, or changes in law.

16. Limitation of Liability

  • Airceleo is not liable for loss, damage, seizure, delay, or user misconduct
  • Airceleo's total liability shall not exceed the platform coordination fee paid

Airceleo shall not be liable for indirect, incidental, consequential, punitive, or exemplary damages.

17. Indemnification

  • Item contents or legality
  • Customs or regulatory actions
  • Breach of these Terms
  • Interactions with other users

Users agree to indemnify and hold harmless Airceleo from claims arising from the above.

18. Suspension and Termination

Airceleo may suspend or permanently terminate accounts without explanation at its sole discretion.

19. Class Action Waiver

To the fullest extent permitted by law, disputes must be brought individually and not as part of any class, collective, or representative action.

20. Governing Law and Arbitration

These Terms are governed by the laws of India.

All disputes shall be resolved by arbitration administered by the Mumbai Centre for International Arbitration (MCIA).

  • Seat of arbitration: Mumbai, India
  • Language: English
  • Arbitration may be conducted online, unless otherwise directed

Courts in Mumbai have exclusive jurisdiction for interim or enforcement matters.

21. Assignment

Airceleo may assign its rights and obligations without restriction. Users may not assign without prior written consent.

22. Waiver

Failure to enforce any provision does not constitute a waiver.

23. Entire Agreement and Survival

These Terms constitute the entire agreement and supersede all prior understandings. Provisions relating to liability, indemnification, arbitration, governing law, assumption of risk, and identity verification survive termination.
